SEC表示，赵长鹏和币安知道他们在违反多项美国法律的情况下运营Binance.com平台。<\/p>

SEC称，赵长鹏和币安指示创建了两个美国公司实体来推出币安.US平台——BAM Management和BAM Trading。<\/p>

该机构表示，赵长鹏和币安在2019年创建了BAM Management和BAM Trading，作为“一个精心策划的计划的一部分，以逃避”美国法律，声称Binance.US平台独立运营，美国客户不能使用Binance.com平台。<\/p>

然而，SEC声称，赵长鹏和币安在美国实体方面有很多参与和控制。<\/p>

“太极计划”<\/h2><\/span>

根据起诉书，赵长鹏和币安雇佣了几名顾问来帮助他们管理在美国的法律风险。<\/p>

据SEC称，2018年，一位币安顾问向赵长鹏和币安提出了一个计划，涉及创建一个名为“‘太极’实体”的美国实体。<\/p>

《福布斯》<\/a>杂志在2020年对该实体进行了报道，币安采取了反击措施，甚至对他们提起诽谤诉讼<\/a>。<\/p>

SEC表示，币安的顾问建议该实体“只是为了宣传”，应发布详细的豪伊测试评估框架。<\/p>

豪伊测试是指1946年的美国最高法院案件，用于确定某物是否属于证券。<\/p>

SEC称，币安“实施了太极计划的许多部分”。<\/p>

根据起诉书，赵长鹏和币安除了创建BAM Trading和币安.US平台外，还实施了政策和控制措施，给人以币安.com平台屏蔽美国客户的印象，同时秘密破坏这些控制措施。<\/p>

SEC将一些加密货币标记为证券<\/h2><\/span>

SEC表示，Solana、Cardano、Polygon等加密货币在起诉书中被标记为证券。<\/p>
